Terms of Service

Unity Administration Portal

These Terms govern your use of the Unity Admin Portal and incorporate the Data Processing Addendum for student data handling obligations.

1. Acceptance of Terms

By creating an administrator account on the Unity Administration Portal ("the Admin Portal"), you ("Admin", "Administrator", "you") agree to be bound by these Terms of Service ("Terms"), our Admin Privacy Policy, and the Data Processing Addendum incorporated herein. These Terms constitute a legally binding agreement between you (acting on behalf of your educational institution) and Codexa Technologies Private Limited ("Unity", "we", "us"). If you are not authorized by your institution to accept these Terms, you must not create an admin account.

2. Eligibility & Authorization

To use the Unity Admin Portal, you must be an authorized representative of a registered educational institution, be at least 18 years of age, have explicit authorization from your institution to manage student data, and provide accurate institutional and personal information during registration.

Role Hierarchy

  • Super Admin — Full organizational control, billing, staff management, platform configuration
  • Admin — Student management, academic operations, content moderation
  • Teacher — Grade entry, attendance marking, course content management

Your access level is determined by the Super Admin of your organization.

3. Data Processing Responsibilities

As an administrator, you are entrusted with student personal data. You agree to:

Data Fiduciary Obligations

  • Process student data only for legitimate institutional purposes
  • Ensure all data access is authorized by your institution's policies
  • Report any suspected data breach or unauthorized access immediately to both Unity and your institution
  • Not export or transfer student data to unauthorized systems or personal devices
  • Complete any mandatory data protection training required by your institution

Record-Keeping

  • All your administrative actions are automatically logged in our audit system
  • These logs may be reviewed by your institution's Super Admin, Unity compliance team, or regulatory authorities
  • Audit logs are retained for a minimum of 3 years and cannot be modified or deleted

Student Data Custody

  • Your institution retains ownership and custody of all student data
  • Unity acts as a Data Processor on behalf of your institution
  • Upon subscription termination, your institution may request full data export before deletion

4. Account Security

You are responsible for maintaining strong, unique passwords, enabling multi-factor authentication when available, never sharing admin credentials with unauthorized personnel, logging out on shared or public devices, and reporting compromised credentials immediately. We may enforce minimum password complexity, session timeouts, and IP-based access restrictions. If we detect suspicious activity (unusual login location, bulk data access, off-hours activity), we may temporarily restrict access and notify your institution's Super Admin.

5. Acceptable Use

You agree to use the Admin Portal ethically and in accordance with applicable laws. Prohibited activities include:

Data Misuse

  • Accessing student records outside your authorized scope
  • Downloading or exporting student data for personal or commercial purposes
  • Sharing student personal information on social media or with unauthorized parties
  • Using student contact information for non-institutional communications

Platform Misuse

  • Attempting to bypass role-based access controls or RLS policies
  • Modifying or tampering with audit logs or student records without authorization
  • Using the platform for commercial purposes unrelated to your institution
  • Interfering with other administrators' access or platform performance

Content Violations

  • Posting discriminatory, harassing, or inappropriate content through institutional channels
  • Sending misleading or fraudulent announcements to students
  • Distributing materials that violate copyright or intellectual property laws

6. Subscription & Billing

Access requires an active organizational subscription managed by the Super Admin. Subscriptions auto-renew unless cancelled at least 30 days before renewal. If payment fails, a 15-day grace period applies, after which accounts may be restricted to read-only mode. No student data will be deleted due to billing issues without prior 90-day written notice. Subscription fees are generally non-refundable; pro-rated refunds may be issued for annual plans cancelled within 14 days of purchase.

7. Moderation & Student Safety

As an administrator, you may review reported student content and take appropriate action per your institution's policies. All moderation decisions must cite a specific policy violation and are logged in the audit trail. Students have the right to appeal moderation decisions within 30 days. You must exercise moderation powers fairly, consistently, and in alignment with both Unity's Community Guidelines and your institution's code of conduct. Abuse of moderation powers may result in role demotion or account suspension.

8. Intellectual Property

The Unity Admin Portal, including its UI, source code, algorithms, and brand assets, is the exclusive property of Codexa Technologies Private Limited. Academic structures, curricula, course content, and institutional data uploaded to Unity remain the intellectual property of your educational institution. We grant your institution a non-exclusive, non-transferable license to use the Admin Portal during the active subscription period.

The Admin Portal is provided "as is" without warranties of any kind. Codexa Technologies shall not be liable for decisions made by administrators based on platform data, academic outcomes resulting from admin actions, data loss caused by administrator error or unauthorized access, or third-party service disruptions. To the maximum extent permitted by Indian law, our total liability for any claim shall not exceed the subscription fees paid by your institution in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under Indian law.

11. Termination

By You / Your Institution: The Super Admin may remove individual admin accounts or cancel the organizational subscription at any time. Upon cancellation, a 90-day data export window is provided. By Unity: We may suspend or terminate admin accounts for Terms violations, student data misuse, overdue payments beyond the grace period, or as required by law enforcement.
